Business Certificates
Business Certificates are filed in the County Clerk's Office.
Prior to filing a new business an individual should come into the
office and search the name to ensure it is not in use. If the name is
available the following process must be completed:
- Business certificate must be complete
- Name and Address of Business
- Name and Address of Owner(s)
- Successor-In-Interest to (unless the business has been
purchased from a prior owner insert NONE)
- Dated by Owner, Signed by Owner, County, Date
- Name of Owner and Notary Signature with stamp
- Business Certificate Forms for Individuals or Partners are
available from the County Clerk's office for $1.00 or for free download from this site.
- All Business Certificate Forms can be obtained at any legal
stationary or office supply store.
- The fee for filing a Business Certificate is $25.00 - CASH
OR MONEY ORDER ONLY.
- If you require a certified copy please provide a duplicate
copy of the original. The fee for each certification is $5.00.
There are two other filings that effect Business Certificates:
- Amendments - A Business
Certificate can be amended to change an address or to add and delete
partners by filing an amendment. Reference must be made to the original
Business Certificate. The amendment form can be obtained from a legal
stationary store. The fee for filing is $25.00 If you need a certified
copy there is an additional fee of $5.00.
- Discontinuance - A Business
Certificate can be discontinued by filing a Certificate of
Discontinuance. Reference must be made to the original Business
Certificate. The discontinuance form can be obtained from a legal
stationary store. There is no fee for filing. If a certified copy is
required there is a $5.00 fee.
*Fees must be paid in cash or by money order payable to the
Ulster County Clerk. We do not accept personal checks for the filing of
business
certificates.

Incorporations and Limited Partnerships
Corporations and Limited Partnerships are filed in the County
Clerk's Office but are processed through the Department of State. Once
a Corporation is approved by the State the County Clerk's Office will
receive a certified copy for filing in our office. Also, all related
activity on the Corporation will be filed in our office through the
Department of State. Our corporation papers go from 1856 to present.
Our records are open to the public Monday through Friday, 9 a.m. to 5
p.m. If a copy of a corporation that was filed in our office over ten
years ago is required it must be accessed from our off site storage
facility. The copy will be available the following work day.
